1. Scope and Acceptance
These Website Terms of Use (“Terms”) govern access to and use of websites operated by ZK Technology LLC, doing business as ZKTeco WFM (“ZKTeco WFM,” “we,” “us,” or “our”), that link to these Terms, including their content, resources, downloads, and forms (collectively, the “Website”).
By accessing or using the Website after receiving legally sufficient notice of these Terms, or by expressly accepting them, you agree to these Terms to the extent permitted by applicable law. If you do not agree, stop using the Website.
The Website is intended for business and professional audiences. If you act on behalf of an organization, you represent that you are authorized to do so.
2. Separate Customer Agreements
These Terms govern Website use. Purchases, licenses, implementation, support, hosted services, and partner relationships are governed by their applicable separate agreements.
Website content does not create or modify a contract, warranty, service-level commitment, or product obligation unless expressly incorporated into an applicable agreement. An inquiry, demonstration request, download, or automated acknowledgment does not constitute acceptance of an order or creation of a business relationship.
If these Terms conflict with a separate agreement with ZKTeco WFM, that agreement controls for its subject matter.
3. Permitted Use and Restrictions
You may view, download, and print reasonable portions of publicly available Website content for lawful internal business evaluation and informational purposes, subject to any accompanying usage conditions. You must preserve proprietary notices.
Without our prior written permission, you may not:
- Republish, sell, sublicense, commercially distribute, or create derivative works from Website content.
- Systematically scrape, harvest, or extract content or personal information, or use Website content to train machine-learning models or build commercial datasets.
- Attempt unauthorized access, circumvent security controls, conduct intrusive security testing, introduce malicious code, or disrupt Website operations.
- Submit unlawful, infringing, misleading, or malicious material, impersonate others, or use forms for spam.
- Misrepresent an affiliation, certification, sponsorship, or endorsement by ZKTeco WFM.
You must comply with applicable laws, including applicable export-control and sanctions restrictions. These restrictions do not prohibit ordinary search-engine indexing consistent with our robots directives or activities that applicable law does not permit us to restrict.
4. Intellectual Property
The Website’s text, graphics, photographs, videos, designs, software, logos, and other materials belong to ZKTeco WFM or its licensors and are protected by applicable intellectual-property laws.
Except for the limited permission in Section 3, no license or ownership right is granted. ZKTeco WFM names, logos, and marks may not be used without authorization. Third-party marks belong to their respective owners; their appearance does not independently establish endorsement or affiliation.
5. Product Information and Educational Content
Product descriptions, specifications, integrations, compatibility statements, security descriptions, and availability information are general descriptions. Actual capabilities may vary by product, version, configuration, geography, deployment, third-party dependencies, and contractual scope.
Images, demonstrations, customer stories, estimates, and performance examples may be illustrative. They do not guarantee equivalent results. Roadmaps and future-functionality statements reflect current expectations and are not delivery commitments unless expressly included in an applicable agreement.
Confirm material requirements in writing through the relevant sales or contracting process before making purchasing or deployment decisions.
Articles, guides, webinars, checklists, and other educational resources are general information, not legal, tax, payroll, employment, security, or other professional advice. You are responsible for obtaining appropriate advice and evaluating requirements applicable to your organization. Use of Website content or a product does not itself establish legal compliance.
See the Educational Content Disclaimer. Nothing in these Terms excuses ZKTeco WFM from obligations directly applicable to its own conduct.
6. Submissions and Feedback
Information you submit must be lawful, accurate to the best of your knowledge, and information you are authorized to provide.
Do not submit biometric samples or templates, passwords, employee records, payment information, or sensitive identification documents through general Website forms or unsecured email. Use an expressly designated secure process when required.
General submissions do not establish a confidential or professional advisory relationship. Existing confidentiality agreements and applicable privacy obligations remain effective. We may process submissions to respond to requests and conduct related lawful business activities consistent with applicable privacy notices and agreements.
For suggestions voluntarily submitted to improve our Website, products, or services, you grant ZKTeco WFM a nonexclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate those suggestions without compensation. This license does not apply to personal information, customer operational data, consumer reviews, or information protected by a separate confidentiality obligation.
Nothing in these Terms restricts truthful reviews, lawful complaints, protected disclosures, or communications with government authorities.
7. Privacy and Biometric Information
Website-related personal information and cookies are addressed in our Privacy Notice and Cookie Policy.
Acceptance of these Terms does not constitute consent to optional cookies, unrelated marketing, or biometric processing. Required notices, choices, and consents must be provided separately.
Biometric processing through applicable ZKTeco WFM hosted services is addressed by the applicable U.S. Biometric Privacy Policy, customer agreements, and law. Merely visiting the Website or using biometric-capable hardware does not establish that ZKTeco WFM receives or processes biometric information.
These Terms do not limit nonwaivable privacy rights or legally required data-protection, retention, or destruction obligations.
8. Third-Party Resources
Third-party links, platforms, integrations, and resources are provided for convenience. We do not control third-party offerings or guarantee their accuracy, availability, security, or continued compatibility.
Third-party terms and privacy practices govern your use of their offerings. ZKTeco WFM is not responsible for third-party conduct except as required by applicable law or an applicable agreement.
9. Website Changes and Access
We may modify, restrict, suspend, or discontinue Website content or functionality for business, maintenance, security, or legal reasons. We may restrict access to address suspected misuse, violations of these Terms, or operational risks.
We do not guarantee uninterrupted access, continued availability of particular content, or that all information will remain current. We may correct errors and omissions, subject to existing contractual commitments and applicable law.
This section does not change access, suspension, or termination rights under separate product or service agreements.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS INFORMATIONAL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.
We do not warrant that the Website will be uninterrupted, error-free, free of harmful components, or complete, accurate, or current.
These disclaimers apply to the Website and its informational content. They do not negate express warranties under separate agreements or protections that cannot lawfully be excluded.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZKTECO WFM AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, WILL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE WEBSITE, INCLUDING LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, REGARDLESS OF THE LEGAL THEORY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEIR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE WEBSITE WILL NOT EXCEED US $100.
These limitations apply only to Website-related claims. They do not replace liability provisions governing separately purchased products or services.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or liability that applicable law prohibits excluding or limiting. Where a limitation is not permitted, it applies only to the extent lawfully permitted.
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless ZKTeco WFM, its affiliates, and their respective officers, directors, employees, and agents against third-party claims, resulting damages, and reasonable legal expenses to the extent caused by your unlawful Website use, material breach of these Terms, or submissions that violate another person’s rights.
This obligation does not apply to the extent a claim results from the protected party’s negligence, misconduct, or breach of law or contract.
We will provide reasonably prompt notice of a covered claim and may control its defense. A delay in notice relieves your obligation only to the extent it materially prejudices the defense. You must reasonably cooperate and may participate through your own counsel at your expense. Neither party may settle a claim in a manner that imposes an admission of wrongdoing or a nonmonetary obligation on the other without that party’s consent.
13. Governing Law and Disputes
Subject to applicable mandatory law, Florida law governs these Terms and Website-related disputes, without applying conflict-of-law rules that require another jurisdiction’s law.
To the extent legally enforceable, the state courts in Hillsborough County, Florida, and the United States District Court for the Middle District of Florida, Tampa Division, have exclusive jurisdiction over such disputes, and each party consents to their personal jurisdiction.
This section does not override dispute procedures in separate applicable agreements, prevent complaints to government authorities, or restrict rights that applicable law permits to be pursued elsewhere.
14. Updates and General Terms
We may revise these Terms prospectively and identify revisions by the Last Updated date. We will provide additional notice or obtain renewed acceptance where legally required. Continued use constitutes acceptance only where applicable notice and acceptance requirements are satisfied. Revisions do not retroactively alter accrued claims or rights without a legally effective agreement.
These Terms constitute the agreement concerning Website use, together with additional terms validly accepted for particular Website functionality. They do not supersede separate customer, partner, confidentiality, or data processing agreements.
If a provision is unenforceable, the remaining provisions continue to the extent legally permitted. Failure to enforce a provision is not a waiver. These Terms do not create an agency, partnership, employment, or fiduciary relationship.
Provisions that by their nature should survive the end of Website use—including intellectual-property restrictions, disclaimers, liability limitations, indemnification, and dispute provisions—remain effective to the extent enforceable.
